Terms & Conditions

1. Acceptance of Terms

By accessing or using the services provided by NJ Cloud ("we", "us", "our"), including our website (nj-cloud.sa) and managed ERPNext hosting services, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use our services.

2. Services Description

NJ Cloud provides managed ERPNext hosting and cloud infrastructure services. Our services include:

  • Managed ERPNext hosting on cloud infrastructure
  • Automated backups and data protection
  • SSL certificate management
  • Server monitoring and security controls
  • ERPNext updates and maintenance
  • Technical support according to your selected plan

Professional services such as ERPNext implementation, customization, integrations, and data migration are provided separately and quoted based on requirements.

3. Account Registration

To use our services, you may be required to create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

4. Subscription and Payment

  • Services are provided on a monthly subscription basis as outlined in your selected plan.
  • Prices are displayed in Saudi Riyals (SAR) and are exclusive of applicable taxes unless stated otherwise.
  • Payment is due in advance for each billing period.
  • NJ Cloud reserves the right to modify pricing with reasonable advance notice.
  • Failure to pay may result in service suspension or termination.

5. Service Availability

We strive to maintain high service availability. However, scheduled maintenance, updates, and unforeseen circumstances may temporarily affect service access. We will provide reasonable advance notice for planned maintenance windows where possible.

6. Data and Backup

  • You retain ownership of all data stored on our infrastructure.
  • We perform automated backups according to your selected plan's backup policy.
  • While we take reasonable measures to protect your data, you are responsible for maintaining your own independent backups for critical business data.
  • We will not access, use, or disclose your data except as necessary to provide our services or as required by law.

7. Acceptable Use

You agree not to use our services to:

  • Violate any applicable laws or regulations.
  • Transmit harmful, malicious, or illegal content.
  • Attempt to gain unauthorized access to our systems or other customers' data.
  • Interfere with or disrupt our services or infrastructure.
  • Resell or redistribute our services without written authorization.

8. Intellectual Property

ERPNext is open-source software licensed under the GNU General Public License. NJ Cloud's services, branding, website content, and documentation are the intellectual property of NJ Cloud and may not be reproduced without written permission.

9. Limitation of Liability

To the maximum extent permitted by applicable law, NJ Cloud shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability shall not exceed the fees paid by you for the services during the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless NJ Cloud from any claims, losses, or damages arising from your use of our services or violation of these terms.

11. Termination

  • Either party may terminate the service agreement with reasonable written notice.
  • NJ Cloud may immediately suspend or terminate services for material breach of these terms.
  • Upon termination, your data will be made available for export for a reasonable period, after which it may be deleted in accordance with our data retention policies.

12. Governing Law

These terms are governed by the laws of the Kingdom of Saudi Arabia. Any disputes shall be resolved through the competent courts in Riyadh, Saudi Arabia.

13. Modifications

NJ Cloud reserves the right to modify these terms at any time. Material changes will be communicated through our website or via email. Continued use of our services after changes take effect constitutes acceptance of the updated terms.
